Valuecom Infosolutions Private Limited is a private limited company incorporated in India, with its registered development centre at 90/2B, 13th Cross, 9th Main, Ideal Homes Layout, Rajarajeshwari Nagar, Bengaluru – 560 098. We provide offshore technology services including enterprise eCommerce development, AI automation, custom application development, and strategic digital consultancy.

2. Acceptance of Terms

The provision of specific services by Valuecom is governed by a separate written service agreement, statement of work (SOW), or master services agreement (MSA) entered into between Valuecom and the client. In the event of any conflict between these Terms of Service and a specific service agreement, the service agreement shall take precedence.

4.2 Service Scope

All services are delivered as described in the applicable statement of work. Any changes to scope, timeline, or deliverables must be agreed in writing by both parties. Valuecom reserves the right to decline work that falls outside the agreed scope.

4.3 Client Responsibilities

Clients are responsible for:

  • Providing accurate, complete, and timely information required for service delivery
  • Ensuring that any materials, content, or data provided to Valuecom do not infringe third-party rights
  • Obtaining all necessary licences, permissions, and consents required for the project
  • Reviewing and approving deliverables within agreed timescales

5. Intellectual Property

5.1 Our Intellectual Property

All content on this website — including text, graphics, logos, images, and software — is the property of Valuecom Infosolutions Private Limited or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

5.2 Client Deliverables

Upon full payment of all fees due, and subject to the terms of the applicable service agreement, Valuecom assigns to the client all intellectual property rights in the bespoke deliverables created specifically for that client. Valuecom retains ownership of all pre-existing tools, frameworks, libraries, methodologies, and know-how used in the delivery of services.

5.3 Third-Party Components

Where deliverables incorporate third-party software, open-source components, or licensed platforms (such as Adobe Commerce or Shopify Plus), those components remain subject to their respective licence terms. Valuecom will identify material third-party components in the applicable service agreement.

6. Confidentiality

Both parties agree to keep confidential all non-public information disclosed by the other party in connection with the services, and not to disclose such information to any third party without the prior written consent of the disclosing party, except as required by law. This obligation survives the termination of any service agreement for a period of three (3) years.

7. Payment Terms

Unless otherwise agreed in writing:

  • Invoices are payable within 30 days of the invoice date
  • Late payments may incur interest at the rate of 2% per month on the outstanding balance
  • Valuecom reserves the right to suspend services in the event of non-payment
  • All fees are quoted exclusive of applicable taxes, which will be added where required by law

8. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Valuecom's total aggregate liability to you in connection with these terms or any service agreement shall not exceed the total fees paid by you to Valuecom in the twelve (12) months preceding the event giving rise to the claim
  • Valuecom shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of business opportunity, even if advised of the possibility of such damages

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.

9. Warranties and Disclaimers

Our website and its content are provided on an "as is" and "as available" basis without any warranties of any kind, express or implied. We do not warrant that the website will be error-free, uninterrupted, or free of viruses or other harmful components.

Valuecom warrants that services will be performed with reasonable skill and care in accordance with the applicable service agreement. We do not guarantee specific commercial outcomes, search engine rankings, or revenue results from any services delivered.

10. Indemnification

You agree to indemnify, defend, and hold harmless Valuecom and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of our website, your breach of these terms, or your infringement of any third-party rights.

11. Termination

Either party may terminate a service agreement in accordance with the termination provisions set out in that agreement. Valuecom reserves the right to terminate or suspend access to our website immediately, without prior notice, if you breach these Terms of Service.

Upon termination of a service agreement, provisions relating to intellectual property, confidentiality, payment of outstanding fees, limitation of liability, and governing law shall survive.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance resulting from circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, civil unrest, government action, power failures, or internet outages. The affected party shall notify the other as soon as reasonably practicable and shall use reasonable endeavours to resume performance.

13. Governing Law and Dispute Resolution

These Terms of Service and any service agreements between Valuecom and its clients shall be governed by and construed in accordance with the laws of India. For clients based in the United Kingdom, the parties agree that disputes shall first be referred to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the Indian Council of Arbitration, unless otherwise agreed in writing.

14. Changes to These Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with a revised "Last updated" date. Your continued use of our website following the posting of changes constitutes your acceptance of those changes. We recommend reviewing these terms periodically.

15. Severability

If any provision of these terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and Valuecom with respect to your use of our website and services, and supersede all prior communications and proposals.
